6.1甲方延期付款的，乙方交付产品的时间可相应顺延，甲方按照延期支付金额的0.5% /日向乙方支付滞
纳金，直至款项付清之日。甲方延期支付超过三十日的，乙方有权选择解除合同，甲方按照合同滞纳金标准向乙方支
付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足
以弥补乙方的损失的，由甲方另行赔偿。
6.1 Should Party A postp one payme nt, Party B has right to delay shipme nt date; Party A should con seque ntly pay late fees of 0.5% per day of the con tract amount to party B till date of full payme nt. Should party A defers payme nt over 30 days, party B may dissolve the con tract and Party A, accord ing to above stipulated late fees rate, should pay Party B liquidated damages （until dissolution date released by party B） and Party A should return the goods to Party B. Actual amount paid by party A is considered as a compensation to Party B; party A should compe nsate the loss of party B additi on ally if above said compe nsati on is not able to cover all the damage caused.
6.2乙方按照本合同约定的时间、地点、质量要求和技术标准向甲方提供定购产品，如延期交付的，按照
未交付产品金额的0.5% /日向甲方支付滞纳金。因乙方延期到货给甲方造成的损失由乙方赔偿。（因甲方
未按期支付价款导致延期交货的除外）
6-2 Party B should provide ordered goods to party A based on lead time, place, quality requirements and tech ni cal specificatio ns stipulated on the prese nt con tract. Late fees, charged to party B, of 0.5% per day will be applied on values of goods overdue. Compe nsati on of loss & damage caused by late delivery should be charged
to party B. (except late shipme nt due to overdue payme nt by party A)
6.3甲方未按合同约定收货或无正当理由提出异议拒绝收货的，乙方将产品运输至交货地点之日视为甲方收到货物和验收合格的时间，由此造成的损失由甲方负责。
6.3 Should party A fails to receive goods or refuse receiving goods delivered without justified or valid reason, the day whe n goods shipped to stipulated locati on will be con sidered as the day of recepti on and accepta nee, party A is resp on sible for loss & damage caused.
第七条不可抗力：
Art. 7 The force majeure:
战争、动乱、瘟疫、地震、台风、洪水、物体坠落或其他非合同双方责任造成的爆炸、火灾、意外事故和
自然灾害。任何一方由于不可抗力原因不能履行合同时，应在不可抗力事件发生后3日内通知对方，尽
力减少损失。不可抗力造成的损失，由双方自行承担。
Definition: war, unrest, plague, earthquake, typhoon, flood, falling objects or any other explosion, fire, accidents and n atural disasters which are excluded by both parties respon sibilities of the prese nt con tract. Should one party is un able to fulfill the con tract due to the force majeure, the party concerned should inform the other party in 3 days from the date of the event and should try all means to reduce loss caused. The damage caused by the force majeure should be born by each party ' s own risk.
第八条争议解决：

双方发生争议的，应协商解决，协商不成的，由非第一和第二方所在地有管辖权的人民法院裁决。
All eventual disputes should be settled through friendly negotiation. If consultation fails, arbitration should be settled by a jurisdict ion court located in a country other tha n both parties ' on es.

Article 9 Miscella nea:
9.1双方应对合同履行过程中的技术信息和商业秘密承担保密责任，如因任何一方未尽此义务导致他方经济损失，应予赔偿。

9.2本合同未尽事宜或合同变更，经双方协商一致后签订补充合同，效力与本合同一致。

Claim for quality discrepancy should be filed by the Buyer within 60 days after arrival of the goods at the final destination while for quantity / weight discrepancy claim should be filed by the Buyer within 30 days after arrival of the goods at the final destination. 照双方在本合同中约定的质量要求和技术标准，对产品的质量进行验收。验收不合格的，应即向卖方提出书面异议，并在提出书面异议后日内向卖方提供有关技术部门的检测报告。卖方应在接到异议及检测报告后及时进行修理或更换，直至验收合格。在产品交付后日内，卖方未收到异议或虽收到异议但未在指定期限内收到检测报告的，视为产品通过验收。 七、接收与异议： 如买方指定由接货单位（人）接收货物，则买方同意对接货单位提出的接收、拒收、书面拒收意见等行为负责。 采用送货上门和自提方式交货的，在交付产品时，接收货单位（人）应对产品品牌、规格型号、数量是否符合合同规定进行检查；对于符合合同规定的，接收货单位（人）应当签收。对于不符合合同规定的产品，买方可以拒收，并书面说明拒收的理由。对于以送货上门方式交货，买方依照约定拒收的产品，需要由买方保管的，买方应负责保管。 采用代办托运方式交货的，买方对产品、规格型号、数量有异议的，应自产品运到之日 起日内，以书面形式向卖方提出。 买方因使用、保管、保养不善等造成产品质量下降的，不得提出异议。 上述拒收或异议属于卖方责任的，由卖方负责更换或补齐。 八、售后服务： 1. 遵循《联想网络（深圳）有限公司技术服务指南》规定条款。 2. 如果客户要求一年以上质保（高端产品），请客户在收货验收合格且提供产品序列号清单。详见SOP合同预审制度-销售合同审核规范附件（五） 九、违约责任： （一）、卖方的违约责任 1、卖方逾期交货的，每日按所涉金额的万分之四的标准向买方支付违约金，违约金总额不超过逾期所涉金额的5%； 2、卖方交付的产品规格型号、数量、质量、外包装经双方确认不符合合同规定的，如果买方同意接受，可以重新论价；如果买方不同意接受，卖方应根据产品的具体情况负责补齐、包换或包修，并承担修理、调换而支付的实际费用。 （二）、买方的违约责任 1、买方逾期付款的，每日按所涉金额的千分之一的标准向卖方支付违约金。 2、买方无故拒绝接受符合合同约定产品的（包括买方中途退货），视为买方单方违约，应向卖方支付其拒绝接受部分（或中途退货部分）货款的作为违约金，并赔偿卖方因此造成的损失。 3、在卖方送货和卖方代运的交货方式中，如因买方错误告知到货地点和接货人，致使卖方无法按时送达，卖方不承担任何责任，买方应赔偿因此给卖方造成的损失。 4、如若本合同签订后，买方未按约定向卖方支付定金，经卖方催促后七日内仍未支付，卖方可解除本合同，并要求买方支付本合同总价款的10%作为违约金。 十、免责条款 1、不可抗力 双方的任何一方由于不可抗力的原因，包括但不限于火灾、水灾、地震、台风、自然灾害，不能履行合同时，应以书面形式及时向对方通报不能履行或不能完全履行的理由，并应在15日内提供有关主管部门的证明。在发生不可抗力的情况下，应允许延期履行、部分履行或者不履行合同，并可以免除责任。 本合同中，不可抗力是指不能预见、不能避免并不能克服的客观情况。
