海运提单 BILL OF LADING 海运提单主要项目填制说明如下：
1、托运人（Shipper）。即与承运人签订运输契约，委托运输的货主，即发货人。在信用证支付方式下，一般以受益人为托运人；托收方式以托收的委托人为托运人。另外，根据《UCP500》第31条规定：除非信用证另有规定，银行将接受表明以信用证受益人以外的第三者为发货人的运输单据。 2、收货人（Consignee）。收货人要按合同和信用证的规定来填写。一般的填法有下列几种： （1）记名式：在收货人一栏直接填写上指定的公 司或企业名称。该种提单不能背书转让，必须由收货人栏内指定的人提货或收货人转让。 （2）不记名式：即在收货人栏留空不填，或填“To Bearer”（交来人/持票人）。这种方式承运人交货凭提单的持有人，只要持有提单就能提货。 （3）指示式：指示式的收货人又分为不记名指示 和记名指示两种。 不记名指示，是在收货人一栏填“To Bearer”，又称空白抬头。该种提单，发货人必须在提单背面背书，才能转让。背书又分为记名背书和不记名背书（空白背书）两种。前者是指在提单背面填上“Deliver to ×××”“Endorsed to ×××”，然后由发货人签章；后者是发货人在背面不做任何说明只
签章即可。记名背书后，其货权归该记名人所有，而 且该记名人不可以再背书转让给另外的人。不记名背书，货权即归提单的持有人。 记名指示，是在收货人一栏填“To Order of Shipper”，此时，发货人必须在寄单前在提单后背书；另外还有凭开证申请人指示即L/C中规定“To Order of Applicant”，在收货人栏就填““To Order of ××× Co”； 凭开证行指示，即L/C中规定“To Order of Issuing Bank”，则填“To Order of ×××Bank”。 在实际业务中，L/C项下提单多使用指示式。托收 方式，也普遍使用不记名指示式。若作成代收行指示式，事先要征得代收行同意。因为根据URC522中第10 条ａ款规定：除非先征得银行同意，贷物不应直接运 交银行，亦不应以银行或银行的提定人为收货人。如 未经银行事先同意，贷物直接运交银行，或以银行的 指定人为收货人，然后由银行付款或承兑后将货物交 给付款人时，该银行并无义务提取货物，货物的风险 和责任由发货人承担。 3．被通知人（Ｎotify Party）。原则上该栏一定 要按信用证的规定填写。被通知人即收货人的代理人

海运提单的填制要求 海运提单（Bill of Lading, B/L）的填制内容和注意事项： 1．托运人(shipper)与海运托运单相应栏目填法相同，若信用证没有特别规定可以是任何人。 2．收货人(consignee)与海运托运单相应栏目填法相同。必须与信用证规定的一致。 (1)如果提单的“收货人”一栏只填写“to order”，则称为托运人指示提单。记载“to order of shipper”与记载“to order”一样，也是托运人指示提单。在托运人未指定收货人或受让人以前，货物仍然属于托运人。 (2)如果提单的“收货人”一栏填写“to order of XX×”，则称为记名指示提单。在这种情况下，由记名的指示人指定收货人或受让人。记名的指示人可以是银行也可以是贸易商。 3．通知人(notify party)几乎所有的提单上都有通知人这一项，但在记名提单上就没有必要再填写通知人。这时可以填写“same as consignee”。(1)通知人有时还作为预定收货人、第二收货人或代理人。(2)通知人必须与信用证规定的完全一致。如信用证没规定，此栏可不填，即使已经填写了内容，银行可以接受但不必进行审核。 4．收货地(place of receipt)此栏填报实际收货地点，如工厂、仓库等。在一般海运提单中，没有此栏目，但在多式联运提单中有此栏目。 5．装运港(port of loading)与海运托运单相应栏目填法相同，必须与信用证规定的装运港一致。(1)根据UCP600，通过预先印就的文字，或已装船批注注明货物的装运日期表明货物已在信用证规定的装运港装上具名船只，银行可以接受。(2)根据UCP600，如果提单没有表明信用证规定的装货港为装货港，或者载有“预期的”或类似的关于装运港的限定语，则需以已装船批注表明信用证规定的装运港、发运日期以及实际船名。即使提单以事先印就的文字表明了货物已装载或装运于具名船只，本规定仍适用。 6．船名(name of the vessel)(1)若是已装船提单，此栏注明船名和航次。若是收货待运提单，在货物实际装船完毕后再填写船名。该项记载的意义有多方面：便于购买保险、便于跟踪查询、便于发生合同纠纷时法院有确定的客体，可采取诉讼保全等。(2)根据UCP600，如果提单没有表明信用证规定的装货港为装货港，或者载有“预期的”或类似的关于装运港的限定语，则需以已装船批注表明信用证规定的装货港、发运日期以及实际船名。即使提单以事先印就的文字表明了货物已装载或装运于具名船只，本规定仍适用。(3)根据UCP600，如果提单载有“预期船只”或类似的关于船名的限定语，则需以已装船批注明确发运日期以及实际船名。(4)此栏必须填写船名和航次(V oy．No)，如没有航次，允许航次空白。7．转运港(port of transshipment)就提单而言，转运系指在信用证规定的装货港到卸货港之间的运输过程中，将货物从一船卸下并再装上另一船的行为。发生转运时，填写转运港名称，必要时加注所在国家名称。(1)根据UCP600，提单可以表明货物将要或可能被转运，只要全程运输由同一提单涵盖。(2)即使信用证禁止转运，注明将要或可能发生转运的提单，银行仍可接受，只要其表明货物由集装箱(container)、拖车(trailer)或子船运输。(3)提单中声明承运人保留转运权利的条款将被银行不予理会。 8．卸货港(port of discharge)与海运托运单相应栏目填法相同。在信用证结汇方式时，提单须表明货物从信用证规定的装货港发运至卸货港。
