上海市房屋租赁合同TENANCY AGREEMENT
本合同双方当事人：
出租方（甲方）Landlord (Party A)：
承租方（乙方）Tenant (Party B)：
根据《中华人民共和国合同法》、《上海市房屋租赁条例》（以下简称：《条例》）的规定，甲、乙双方在平等自愿公平和诚实信用的基础上，经协商一致，就乙方承租甲方可依法出租的商品房事宜，订立本合同。
Whereas Party A Shall lease to Party B and Party B shall rent from Party A, the relevant Premises legally owned by Party A and Party B agrees to sign this lease Agreement (this “Agreement”) after friendly consulation and negotiation on the basis of equality and mutual benefits in accordance with the relevant national and municipal laws and regulations.
一、出租屋情况
Article1 Location, Area and Renovation
1-1 甲方出租给乙方的房屋坐落在本市陆家浜路521弄7号2401室（以下简称该房屋）。该房屋实测建筑面积为119.77 平方米，土地用途为住宅，房屋类型为商品房、结构为钢混。
Party A agrees to lease out to Party B its legally owned Premises, Which are located at Room 2401 Build 7 Lane 521 lu jia bang Road .(The “Premises”) The livable area of the Premises shall be 119.77 square meters. The stated use there of only for Residential. The property’s type is property , Structure is armored concrete.
1-2甲方作为该房屋的房地产权利人与乙方建立租赁关系。
As the Property’ owner makes the rental relationship with Party B.
二、租赁用途
Article 2 Purpose of lease:
2-1 乙方向甲方承诺，租赁该房屋作为住宅使用，并遵守国家和本市有关房屋使用和物业管理的规定。
Party B warrants that the leased Premises shall be used only for Residential purpose.
2-2 乙方保证，在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前，不擅自改变上述约定的使用用途。
Party B promises, during the lease period, Party B shall not use the Premises for and other purposes without Party A’s prior written consent and the relevant government agency’s consent.
三、交付日期和租赁期限
Article 3 Term of lease
3-1 甲乙双方约定，甲方于2012年2月13 日向乙方交付该房屋。
【出租】房屋租赁期自2012年2月13日起至2013 年2月12日止。
Both Party A and Party B agree that Party A will deliver the Progerty to Party B on 2012-2-13 ；the lease period of the Premises is 12 months, from 2012-2-13 to 2013-2-12.
3-2 租赁期满，甲方有权收回该房屋，乙方应如期返还。乙方需继续承租房屋的，则应于租赁期届满前一个月，向甲方提出续租书面要求，经甲方同意后重新签订租赁合同。Party A is entitled to take back the Premises and Party B shall return the Premises upon the expiration of the lease period. If Party B desires to renew this Agreement, Party B shall give a written notice to Party A 1 month(s ) prior to the expiration of the lease period and enter into a new lease agreement upon Party A’s consent.
四、租金支付方式和期限
Article 4 Rental and term of Payment
4-1 甲、乙双方约定，月租金总计为6000 元。（大写：陆千元整）。包括每月物业管理费和发票，该房屋租金在租赁期间内不变。
The total amount of monthly rental payable in RMB is 6000；including the management fees and invoice. The rental of the Premises shall remain the same for the lease period.
4-2 乙方应于每月10 日前向甲方以现金或汇款方式支付租金。逾期支付的，每逾期一日，则乙方需按日租金的百分之三支付违约金。
Party B shall pay the monthly rental by remittance before or on the 10th of every month. In the event that Party B delays the payment for the rental, Party B shall pay 3% of the daily rental per day as a penalty for delay.

4-4 乙方需要自己承担每月的电话费和宽带费。
Party B shall pay the telephone fee and ADSL fee.
4-5乙方在租赁期间及时按帐单来支付实际使用的水；电；煤费用。
Party B shall pay the water fees, electrical fees, gas fees as per the bills in time.
五、保证金和其他费用
Article 5 Deposit and Other Expenses
甲乙双方约定，甲方为照顾乙方生活，同意其2012年2月13日先进屋入住，但乙方务必于2012年2月13日前向甲方支付房屋租赁保证金，保证金为一个月的租金，即（6000 元）。甲方收取保证金后向乙方开具收款凭证。
租赁关系终止时，甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外，剩余部分无息归还乙方。
Whereas Party A and Party B agree that Party B could move to Party A’s house on 13th February, 2012. When Party A delivers the property to Party B, Party B will pay 1 month(s) rental as deposit before 13th February 2012, which is RMB 6000 . Party A shall provide an official rental invoice to Party B.
On the expiry of the contract, Party A will give back the deposit to Party B except it Party B has not paid expenses it has to pay according to this contract.
六、甲方该房屋内的家俱和家用电器应列明清单（见附件），于2月13日移交乙方确认使用。
Part A shall make a furniture list of the house and turn over to Part B on13th February. (The furniture list see the attachment)
七、房屋使用要求和维修责任
Article 7 The responsibility of repairing the Premises
7-1 租赁期间，乙方发现该房屋及其附属设施有损坏或故障时，应及时通知甲方修复；甲方应在接到乙方通知后的三日内进行维修。逾期不维修的，乙方可代为维修，费用由甲方承担。
During the lease period, Party B shall inform Party A when Party B finds that something is wrong with the Property of attached facilities; when party A receives the information from Party B, Party A shall repair it within 3 day. If Party A delays in performing the repair, Party B can instead of Party A repair it by itself and Party A shall reimburse Party B for the expenses.
7-2 租赁期间，乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当或不合理使用，使该房屋及其附属设施损坏或发生故障的，乙方应负责维修。乙方拒不维修，甲方可代为维修，费用由乙方承担。
During the lease period, Party B shall take care of and use the Premises and the attached facilities properly. In the event that the Premises and facilities are damaged by Party B due to its improper use, Party B shall immediately repair and pay for the costs of such repairs. In the event that Party B fails to repair items damaged due to improper use by Party B, Party A shall have the right to repair and the costs of such repairs is to be reimbursed to Party A by Party B.
7-3 租赁期间，甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、养护，应提前三日通知乙方。检查养护时，乙方应予以配合。甲方应减少对乙方使用该房屋的影响。
During the lease period, Party A shall ensure the Premises are in the good and safe condition. Party A shall give a written notice to Party B 3 days prior to inspection and maintain the Premises and the attached facilities. Party B shall assist in and cooperate with Party A willingly.
Party A shall reduce and inconvenience caused to Party B.
八、房屋返还时的状态
Article 8 Premises returning situation
8-1 除甲方同意乙方续租外，乙方应在本合同的租期届满后的当日内应返还该房屋，未经甲方同意逾期返还房屋的，每逾期一日，乙方应按日房租的双倍价格向甲方支付该房屋占用使用费。
Except if Party A agrees to extend the lease of the Premises, Party B shall return the Premises on the expiration day of the lease period. If Party B delays in returning the Premises to Party A, Party B shall pay default penalty equivalent to double of the daily rental.
8-2 乙方返还该房屋应当符合正常使用后的状态。返还时应经甲方验收认可，并相互结清各自应当承担的费用。（除自然磨损或损耗外）任何由人为因素使用不当所造成的损坏由乙方负责维修或更换。
When Party b returns the Premises to Party A, the Premises and attached facilities should be in a usable condition. Party A should check and after acceptance settle all charges. (except the normal tear and wear) Any damage that is man-made and caused by improper use, the Party B shall be responsible to repair or replace.
九、转租、转让和交换
Article 9 Sub-lease, assign and exchange
在租赁期内，乙方不得分租或隔间群租或转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋。
During the lease period, Party B is not allowed to sublet Premises without Party A’s written consent.
十、解除本合同的条件
Article 10 The condition of dissolution
10-1 甲乙双方同意在租赁期内，有下列情况之一的，本合同终止，双方互不承担责任：（一）该房屋占用范围内的土地使用权依法提前收回的；
（二）该房屋因社会公共利益被依法征用的；
（三）该房屋毁损、灭或者被鉴定为危险房屋的；
During the lease period, this Agreement shall be terminated when one of the following events occurs.
（1）The land use right of the area where the Premises is located shall be taken back ahead of the schedule according to the law;
（2）The Premises shall be confiscated for the benefit of public interest;
（3）The Premises is damage, or be appraised as dangerous Premises.
10-2 甲乙双方同意，有下列情形之一的，一方可书面通知另一方解除本合同。违反合同的一方，应向另一方按月租金的双倍支付违约金；给对方造成损失的，支付的违约
金不足抵付一方损失的，还应赔偿造成的损失与违约金的差额部分；
（一）甲方未按时交付该房屋，经乙方催告后十日内仍未交付的；
（二）甲方交付的该房屋不符合本合同的约定，致使不能实现租赁目的的；或甲方交付的房屋危及乙方安全的。
（三）乙方未征得甲方书面同意改变房屋用途，致使房屋损坏的；
（四）因乙方原因造成房屋主体结构损失的；
（五）乙方擅自分租或隔间群租或转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的；
（六）乙方逾期不支付租金累计超过半个月的；
（七）乙方逾期不支付房屋租赁保证金的。
Both of Party A and Party B agree that one party can notify the other Party to terminate the contract under the following circumstances. If either Party breaks the terms of this Agreement it shall pay double monthly rental as the default penalty to the other Party; if the other Party’s losses exceeds the default penalty, the Party breaking the terms of this Agreement shall pay the default penalty as mentioned above and be responsible to compensated the other Party’s losses.
(1)In the event that Party A fails to deliver the Premises to Party B in accordance with
the stipulated time under this Agreement, after Party B have notified Party A for ten
days but stills have not delivered;
(2)Party A delivers the Premises not accordance with the Agreement, rendering it not
rentable; or Party A delivers the defective Premises to Party B, making it unsafe; (3)Without Party A’s written consent, Party B changes the use of the Premises as
stipulated in this Agreement thereby damaging the Premises;
(4)Due to any other reasons of Party B, making the Premise’s main structure defective;
(5)Party B without Party A’s written consent sub-lease, assign or sublet the Premises to
others of exchange the Premises with others;
(6)Party B delay in payment for the rental for more than 15 days.
(7)Party B delay in payment for the deposit.
十一、违约责任
Article 10 responsibilities for Breach
11-1 租赁期间，甲方不及时履行本合同约定的维修、养护责任，致使房屋损坏，造成乙方财产损失或人身伤害的，甲方应承担赔偿责任。
During the lease period, due to the delay in performing repair and maintenance as agreed by Party A, Party A shall be responsible to compensate for the damages of the Premises and / or the property damages and/or the personal injuries of Party B.
11-2 租赁期间，非本合同规定的情况甲方擅自解除本合同，提前收回该房屋的，甲方应向乙方支付违约金。若支付的违约金不足抵付乙方损失的，甲方还应负责赔偿。During the lease period, Party A shall pay penalty to Party B in the event that Party A terminates this Agreement and takes back the Premises before the expiration date for reasons other than that as provided in the Agreements. Party A shall be responsible to compensate. For Party B’s losses in the event that default penalty is insufficient to cover Party B’s losses.
11-3 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者超出甲方书面同意的范围和要求装修房屋或者增设附属设施的，甲方可以要求乙方赔偿损失。
If Party B has not obtained Party A’s prior written consent or exceeds the scope of Party A’s prior written consent to renovate the Premises and install attached appliances, Part A have right to ask Party B cover its loss cover its losses.
11-4 租赁期间，非本合同规定的情况，乙方中途擅自退租的，甲方可没收乙方的保证金，保证金不足抵付甲方损失的，乙方应负责赔偿。
During the lease period, Party B terminates the contract; Party A has right to confiscate the deposit. Party B shall be responsible to compensate for Party A’s losses in the event that default penalty is insufficient to cover Party A’s losses.
十二、其他条款
Article 12 Miscellanties
12-1 本合同自双方签字后生效。
This Agreement shall come into effect after Party A and Party B both signing the agreement.
12-2 本合同未尽事宜，经甲、乙双方协商一致，可订立补充条款。本合同补充条款及附件均为本合同不可分割的一部分，本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。
The matters not covered in this Agreement may be included in a supplementary agreement after consultation and consent by both Parties hereto. However, the terms of supplementary agreement and the schedule shall be the integral part of this Agreement. The handwritten characters will have the same effect as the printed characters.
12-3 甲、乙双方在签署本合同时，对各自的权利、义务、责任清楚明白，并愿按合同规定严格执行。如一方违反本合同，另一方有权按本合同规定索赔。
At the time of signing this Agreement, Both Party a and Party B are clear about their rights, obligations and responsibilities and are willing to strictly observe this Agreement. In the event that one Party breaches this Agreement, the other Party has the right to claim for compensation in accordance with is Agreement.
12-4 甲、乙双方就履行本合同发生纠纷，应通过协商解决：协商解决不成的可选择下列一种方式解决（下列两种方式由甲、乙双方共同任选一种）：
（一）提交中国对外经济贸易委员会上海仲裁委员会仲裁
（二）依法向人民法院起诉
Any disputes between the Parties hereto within arise out of the performance of this Agreement shall be settled through consultation. In the event no settlement can be reached, both parties could adopt the following alternative;
(1)To submit such disputes to Shanghai Arbitration Committee
(2)To file a lawsuit in a court having jurisdiction over the Premises
